1. Introduction and Scope

Welcome to VEOGN.

VEOGN is a business-to-business (B2B) commerce platform designed to enable and organize commercial transactions among suppliers, wholesalers, retailers, online stores, dropshipping sellers, and other businesses or qualified commercial practitioners.

Depending on the services made available from time to time, VEOGN may provide technology and commercial infrastructure that enables users to discover products and suppliers, list products, buy and sell goods, manage orders, manage inventory, and access fulfillment, packaging, shipping, dropshipping, payment-related tools, analytics, and other related services.

These Terms and Conditions, together with any policies or service-specific terms incorporated by reference, govern access to and use of the VEOGN Platform and its services.

Users should read these Terms carefully before creating an account or using the Platform.

Acceptance shall occur through the method implemented by VEOGN during registration or whenever acceptance of a new or updated version is required.

2. Definitions

For purposes of these Terms, the following expressions shall have the meanings set out below unless the context requires otherwise.

VEOGN or the Platform means the VEOGN electronic platform and its related websites, applications, systems, interfaces, technology, and services.

Operating Entity means مؤسسة نبيل محمد محمود باعيسى التجارية, Commercial Registration No. 7028059199, as the entity operating the VEOGN Platform.

User means any person or business entity that is registered with or uses the Platform in accordance with the permissions and services available to that account.

Merchant is a general expression that may, depending on context, include a supplier, wholesaler, retailer, online store, dropshipping seller, or another commercial user accepted by VEOGN.

Supplier or Seller means a User who supplies or lists products for sale through the Platform and is responsible for those products in accordance with these Terms and applicable policies.

Buyer means a User who purchases products or services through VEOGN for purposes connected with its business activities.

Dropshipping Seller means a User who uses VEOGN's dropshipping services to sell eligible products to its own customers while orders are fulfilled from inventory available through VEOGN.

End Recipient means the person to whom a dropshipping order or shipment is sent based on information provided by the relevant merchant.

Product means any item or commercial good supplied or listed through the Platform.

Order means a purchase or fulfillment transaction created through the Platform based on the relevant products, quantities, prices, delivery details, and applicable conditions.

Fulfillment Services means logistics services managed by VEOGN, as applicable, including inventory receipt, storage, picking, order preparation, packaging, shipping, returns processing, and failed-delivery handling.

Purchase Balance means an amount that a Buyer or Dropshipping Seller may, where the service is available, fund in advance for use toward eligible purchases or services within VEOGN, subject to the approved payment structure and applicable requirements.

Settlement Receivables means amounts arising from sales transactions that remain subject to delivery, review, reconciliation, settlement conditions, and the applicable settlement schedule before becoming payable to a Seller.

Policies means any policies supplementing these Terms, including, where applicable, the Privacy Policy, Sale and Purchase Policy, Exchange and Return Policy, Warranty Policy, and other policies published by VEOGN.

3. Nature and Role of VEOGN

3.1 VEOGN operates as a technology and commercial platform and may also provide operational and logistics services connecting commercial parties and supporting their transactions.

3.2 Unless expressly stated otherwise for a particular transaction or service, the Supplier or Seller remains responsible for the product it supplies or lists, including its authenticity, accuracy, specifications, availability, lawful circulation, and product-related obligations.

3.3 VEOGN does not become the owner or seller of a product merely because that product is listed on the Platform, stored in a VEOGN facility, or handled through VEOGN's fulfillment infrastructure.

Ownership may transfer only in accordance with the relevant transaction or service model.

3.4 VEOGN may provide services including warehousing, fulfillment, packaging, shipping, collections, settlement administration, dropshipping, and other operational or technology services.

3.5 VEOGN may engage third-party providers, including logistics companies, payment service providers, and other contractors, to perform parts of its services.

3.6 VEOGN's facilitation or performance of a service does not relieve a Supplier, Seller, Buyer, or other User of responsibilities that properly belong to that User.

3.7 VEOGN may establish operational requirements, quality standards, and Platform rules intended to support marketplace reliability, transaction integrity, security, and the legitimate interests of its Users.

4. Relationship Between the Parties

Users of VEOGN operate as independent parties.

Use of the Platform does not, by itself, create a partnership, agency, employment relationship, or joint venture between VEOGN and a User or between Users.

Any different relationship must arise from a separate and express agreement.

Each party remains responsible for its own business activities, legal obligations, representations, products, and commitments.

5. Eligibility and Account Registration

5.1 A User must be legally and commercially eligible to conduct the activities it undertakes through VEOGN.

5.2 Where an account is opened on behalf of an establishment, company, institution, or other business, the person creating the account represents that they are authorized to represent or administer the account for that entity.

5.3 VEOGN may establish registration and verification requirements according to account type, commercial role, and services used.

Such requirements may include, where applicable, identity information, business information, commercial registration details, professional or commercial permits, tax information, authorized-person details, banking or settlement details, and other documentation reasonably required for eligibility, compliance, or service operation.

5.4 Not every User is necessarily required to provide the same documents. Requirements may vary by User type, activity, service, and applicable requirements.

5.5 Information and documentation provided to VEOGN must be accurate, current, complete, and not misleading.

5.6 VEOGN may require information to be updated or reverified where documentation expires, ownership or authority changes, or other reasonable grounds for reverification exist.

5.7 VEOGN may delay registration or restrict particular services until necessary verification requirements are completed.

6. Account Types and Commercial Roles

VEOGN may offer different account types and commercial roles.

A Supplier or Wholesaler Account may be used to supply products, provide inventory, manage sales, and access related services.

A Retailer or Online Store Account may be used to purchase products for commercial activities.

A Dropshipping Seller Account may be used to access products eligible for dropshipping and to request fulfillment of orders for the merchant's customers through VEOGN.

VEOGN may introduce additional account types or commercial roles as its services evolve.

Features and permissions may vary according to account type, verification status, subscription plan, and services activated.

A User must not select or represent an account type or commercial capacity that does not accurately reflect its business activity.

7. Account and Business Verification

7.1 VEOGN may use appropriate processes to verify Users, businesses, authorized representatives, or submitted documentation.

7.2 Users shall reasonably cooperate with verification requirements necessary to activate or maintain services.

7.3 Approval or verification of an account does not constitute a commercial guarantee, endorsement, or warranty by VEOGN of that User, its products, or its future performance.

7.4 Each User remains responsible for the accuracy and continuing validity of information provided to VEOGN.

7.5 VEOGN may request correction, restrict services, suspend an account, or terminate an account where submitted information is materially inaccurate, forged, misleading, or where eligibility requirements are no longer satisfied.

8. Account Security

8.1 Users are responsible for maintaining the confidentiality and security of their account credentials.

8.2 Users must notify VEOGN without undue delay if they suspect unauthorized access or loss of control over an account.

8.3 Business Users are responsible for ensuring that persons permitted to use their accounts have appropriate authority.

8.4 VEOGN may take proportionate protective action when unauthorized access or security compromise is suspected, including terminating active sessions, requesting reverification, or temporarily restricting access.

8.5 No User may access or attempt to access another account, system, or information without authorization.

9. Keeping Account Information Current

Users must keep their account, contact, business, authorization, licensing, and other material information reasonably current.

A User bears the consequences of failing to update information where that failure prevents delivery of an important notice, completion of a service, settlement, verification, or other transaction.

VEOGN may rely on contact information recorded on the account until that information is updated.

10. Supplier and Seller Obligations

10.1 Suppliers shall use VEOGN professionally and lawfully.

10.2 Suppliers are responsible for the accuracy and completeness of information concerning their businesses and products.

10.3 Suppliers must not provide false or misleading information or omit material information likely to affect a purchasing decision.

10.4 Suppliers are responsible for ensuring that products may lawfully be supplied and that required permits or approvals are maintained where applicable.

10.5 Suppliers shall provide agreed inventory quantities and maintain accurate inventory information falling within their control.

10.6 Accepted Orders must be performed within the applicable processing time and service level associated with the product or service.

10.7 If a Supplier becomes aware of a material issue preventing or delaying fulfillment, it must update the relevant status or inform VEOGN without undue delay.

10.8 Users must not deliberately circumvent Platform fees, commissions, order flows, settlement mechanisms, or other requirements applicable to the relevant VEOGN service.

11. Products and Product Content

Suppliers are responsible for product information they provide, including product names, descriptions, photographs, specifications, sizes, variations, brands, origin information, quantities, warranty information, and other material attributes.

Information must be clear, accurate, and not misleading.

Images, descriptions, brands, or other content must not falsely suggest characteristics, quality, origin, or rights that the product does not possess.

Suppliers retain ownership of content and intellectual property they lawfully own.

To the extent necessary to operate VEOGN, market products, and perform related transactions, a Supplier grants VEOGN a non-exclusive right to host, display, process, reproduce, and use product content for those purposes.

VEOGN may hide, restrict, or remove product content reasonably believed to be incomplete, misleading, unlawful, contrary to Platform policies, or materially harmful to Users or the Platform.

12. Pricing, Inventory, and Availability

12.1 Suppliers determine their product prices unless a different pricing mechanism applies to a specific service or commercial arrangement.

12.2 Prices, discounts, or promotional representations must not be misleading.

12.3 Applicable prices, taxes, charges, and known additional costs should be disclosed through the applicable transaction flow to the extent relevant to the service.

12.4 Minimum quantities, quantity-based pricing, or wholesale tiers should be displayed where applicable.

12.5 Suppliers are responsible for inventory information they control.

12.6 A Supplier must not knowingly represent a product as available where it is unavailable and there is no reasonable ability to provide it under the terms offered.

12.7 VEOGN may automatically restrict orders or hide products based on inventory information and operational rules.

12.8 Where inventory is physically held within VEOGN's fulfillment environment, VEOGN's operational records shall be used to determine the recorded quantity, allocation, and inventory status within that service.

13. Prohibited Products and Intellectual Property

Users may not list, sell, promote, or distribute products that are prohibited by applicable law or require approvals that have not been obtained.

Counterfeit products and products infringing trademarks, copyright, patents, designs, or other intellectual property rights are prohibited.

A Supplier represents that it owns or possesses the necessary rights or permissions to use product names, trademarks, images, and other content it provides.

Where VEOGN receives a credible complaint or identifies reasonable indicators of infringement, it may temporarily restrict the product while reviewing the matter and may require evidence of authenticity or authorization.

Products may be removed and accounts restricted where a violation is established.

Actions taken by VEOGN under these Terms are contractual or operational measures and are not governmental or statutory penalties.

14. Orders and Fulfillment

14.1 Orders remain subject to product availability, payment status, acceptance requirements, and the applicable fulfillment process.

14.2 Buyers are responsible for reviewing products, quantities, prices, and fulfillment information before confirming an Order.

14.3 A transaction may pass through several operational stages, including:

Order → Payment → Inventory Allocation → Preparation → Shipment → Delivery → Review → Settlement.

14.4 Following acceptance, the party responsible for fulfillment must perform the Order according to the agreed product, quantity, and material specifications.

14.5 A materially different product must not be substituted without appropriate authorization.

14.6 Where an Order cannot be performed, it shall be handled according to its status and the applicable cancellation, refund, or return rules.

14.7 VEOGN may suspend or cancel a transaction where there are reasonable grounds to suspect fraud, abuse, unlawful activity, or a material technical error.

15. Dropshipping and Fulfillment Services

15.1 Nature of the Service

VEOGN provides a dropshipping service through which merchants may sell eligible products to their own customers while VEOGN manages the applicable fulfillment process.

15.2 Inventory Must Be Physically Available

A product may only be made available for VEOGN dropshipping where actual inventory allocated to that service is physically available and ready for shipment within a VEOGN warehouse or another fulfillment facility approved by VEOGN.

A digital product listing alone is not sufficient where no qualifying inventory is physically available for the service.

15.3 Supplier Inventory Obligation

A Supplier wishing to make products available for dropshipping shall provide the required inventory to VEOGN's fulfillment facilities in accordance with applicable receiving, storage, classification, packaging, and data requirements.

15.4 Possession Does Not Equal Ownership

Physical possession of a product by VEOGN does not, by itself, transfer title to VEOGN.

Inventory may remain owned by the Supplier while physically stored by VEOGN until the ownership-transfer event specified by the applicable transaction model occurs.

15.5 Transfer of Ownership to a Dropshipping Seller

Where a Dropshipping Seller purchases or is allocated inventory under a service model that transfers ownership, VEOGN's records shall reflect the transfer of that quantity to the Dropshipping Seller.

The inventory may remain physically stored in VEOGN's facility after the transfer.

15.6 No Duplicate Ownership

The same unit or inventory quantity must not simultaneously be recorded as owned by both the Supplier and the Dropshipping Seller.

VEOGN's operational inventory records shall serve as the service record for ownership and allocation status within the Platform.

15.7 Fulfillment by VEOGN

Within the dropshipping service, VEOGN may manage:

inventory storage;
fulfillment requests;
picking;
order preparation;
packaging;
shipment creation;
handover to the carrier;
fulfillment-status management;
failed-delivery processing; and
returns processing.

15.8 Shipping Providers

Physical transportation may be performed by logistics providers or carriers engaged by VEOGN.

VEOGN manages the shipping service provided to the merchant within the applicable VEOGN fulfillment flow.

15.9 Merchant's Relationship With the End Customer

The Dropshipping Seller remains responsible for its commercial relationship with its End Customer, including its own prices, marketing representations, offers, and commitments that fall outside VEOGN's express service obligations.

A merchant must not represent a product or service as directly sold, warranted, or guaranteed by VEOGN unless VEOGN has expressly undertaken that role.

16. Shipping, Delivery, and Failed Delivery

16.1 Dropshipping Delivery

For dropshipping Orders fulfilled from inventory held by VEOGN, VEOGN manages order preparation, packaging, and shipment to the End Recipient, either directly or through a carrier engaged by VEOGN.

16.2 Recipient Information

The Buyer or Dropshipping Seller is responsible for providing accurate and complete information necessary for delivery, including recipient name, contact details, delivery address, and other information required by the applicable service.

16.3 Failed-Delivery Costs

The Buyer or Dropshipping Seller shall bear costs resulting from a failed delivery where the failure is attributable to that Buyer, Dropshipping Seller, its End Customer, or information or instructions supplied by them.

Depending on the published service schedule, such costs may include original shipping charges, return shipping, reverse logistics, collection-attempt charges, applicable COD-related charges, inspection, repackaging, and other disclosed operational costs reasonably associated with the failed delivery.

16.4 Examples

Examples may include:

refusal of delivery where there is no fulfillment or product error;
failure of the recipient to respond to reasonable delivery attempts;
incorrect contact or address details;
inability to complete delivery because of inaccurate information supplied by the User; or
unavailability of the required payment amount in a COD Order.

16.5 Errors Not Attributable to the Merchant

The Buyer or Dropshipping Seller shall not bear a failed-delivery charge arising from an error attributable to VEOGN or the fulfillment or shipping process managed by VEOGN, including shipment of the wrong product or damage attributable to that process, subject to review of the relevant circumstances.

16.6 Return to VEOGN Inventory Facility

Following failed delivery, the product shall be returned to a VEOGN warehouse or designated fulfillment facility and shall not automatically be returned to the original Supplier.

16.7 Inspection of Returned Goods

VEOGN shall process or inspect the returned product according to its operational procedures.

Where the product remains in a condition suitable for resale, it may be returned to available inventory under the recorded owner.

Where the product is damaged, incomplete, materially opened, or otherwise unsuitable for resale, it shall be placed into an appropriate review status so that responsibility and financial treatment can be determined.

16.8 Ownership After Failed Delivery

A failed delivery and return to a VEOGN facility do not automatically alter ownership.

Where the product remains owned by the Supplier, it returns to the Supplier's recorded inventory after successful inspection.

Where it is owned by the Dropshipping Seller, it returns to that Seller's recorded inventory and may be made available for a subsequent sale or Order.

17. Payments, Balances, Collections, and Settlements

17.1 Payment Methods

VEOGN may provide payment methods appropriate to each Order or service.

Payments may be processed through banks, licensed payment service providers, financial institutions, or other approved providers under the payment structure applicable at the time.

17.2 Financial Status of Transactions

VEOGN records the financial status of transactions to reflect payment, collection, review, and settlement stages.

Receipt of payment for an Order does not necessarily mean that the relevant amount has immediately become payable to the Seller.

17.3 Seller Settlement Receivables

Amounts arising from a Supplier's or Seller's sales constitute transaction-related settlement receivables subject to review and settlement.

They are not intended to provide the Seller with a general-purpose digital wallet for freely storing or transferring money independently of the underlying transactions.

17.4 Settlement Statuses

Settlement receivables may be shown in statuses such as:

under review;
pending delivery;
subject to return or dispute review;
eligible for settlement; and
settled.

17.5 Eligibility for Settlement

A transaction amount may become eligible for settlement only after relevant conditions have been satisfied, which may include successful payment or collection, successful delivery, completion of an applicable review period, and absence of unresolved cancellations, refunds, disputes, chargebacks, or other outstanding financial events.

17.6 Settlement Schedule

Eligible amounts shall be processed in accordance with the settlement schedule applicable to the relevant account.

17.7 Subscription and Service Level

Settlement frequency, processing priority, and related benefits may vary according to account type, subscription plan, service level, transaction volume, or other criteria disclosed by VEOGN.

17.8 Pre-Funded Purchase Balance

Where the service is available, VEOGN may allow a Buyer or Dropshipping Seller to fund a Purchase Balance in advance for use toward eligible products and services within the Platform.

17.9 Use of Purchase Balance

Available Purchase Balance may be applied toward all or part of an eligible transaction.

Amounts shall be deducted according to the transaction created by the User and the applicable system status.

17.10 Separation From Settlement Receivables

A User's pre-funded Purchase Balance must be distinguished from amounts arising as Seller Settlement Receivables.

An amount appearing in one category does not automatically become part of the other except through an expressly supported and recorded process.

17.11 Payment Structure and Regulatory Treatment

The funding, use, refundability, processing, custody, and other treatment of Purchase Balance shall be governed by the approved payment architecture, applicable payment-provider arrangements, and applicable legal and regulatory requirements.

Use of the words balance or wallet in a Platform interface shall not, by itself, characterize VEOGN as a bank, electronic money institution, or licensed payment service provider except where such status is expressly applicable and lawfully authorized.

17.12 Cash on Delivery — COD

VEOGN may offer Cash on Delivery for eligible Orders.

COD collection may be managed by VEOGN through the relevant carrier or collection provider.

A COD amount does not become eligible for Seller settlement until successful delivery and collection have been recorded.

If delivery fails and no amount is collected, no sale proceeds arise for settlement from that Order, and applicable failed-delivery costs may be charged in accordance with Section 16.

The returned product shall be processed through the relevant VEOGN fulfillment facility and, if suitable for resale, returned to the appropriate inventory account.

18. Fees, Commissions, Subscriptions, and Plans

18.1 Subscription Plans

VEOGN may provide multiple subscription plans offering different levels of features and services.

Differences may include access to functionality, usage limits, product limits, logistics services, dropshipping features, analytics and reporting, support levels, fees, commissions, settlement schedules or priorities, and other commercial or operational benefits.

18.2 Disclosure

The applicable price, duration, principal features, and material terms of a subscription plan shall be displayed or otherwise communicated before subscription.

18.3 Fees and Commissions

Depending on the applicable service or plan, VEOGN may charge subscription fees, transaction commissions, fulfillment fees, storage charges, packaging charges, shipping charges, or fees for additional services.

18.4 Different Commercial Terms

Fees may vary by account type, service, subscription plan, product category, transaction volume, or other disclosed commercial criteria.

18.5 Plan Changes

VEOGN may introduce new plans or modify plans for future periods while taking account of existing subscriptions and providing appropriate notice of material changes where required.

18.6 Set-Off

Where permitted by the applicable service terms and payment structure, fees or commissions owed by a User may be deducted or set off against amounts otherwise eligible for settlement to that User.

19. Cancellation, Exchange, Returns, and Refunds

19.1 Cancellations, exchanges, returns, and refunds are governed by VEOGN's applicable Exchange and Return Policy and by the status and nature of the relevant Order.

19.2 An Order may be cancellable before reaching a particular fulfillment stage as provided by the applicable service.

19.3 Once preparation or shipping has commenced, cancellation may no longer be immediately available and the transaction may instead be handled through the applicable return process.

19.4 Damaged, incomplete, or materially non-conforming products shall be processed according to the applicable policy and any reasonable supporting evidence requirements.

19.5 Responsibility for relevant costs shall be determined by the cause of the issue and the applicable policy.

19.6 Acceptance of a return request does not necessarily constitute final approval of a refund where inspection is reasonably required.

19.7 Approved refunds shall be processed according to Order status, payment method, and associated settlement treatment.

19.8 In dropshipping transactions, the merchant's relationship with its End Customer remains distinct from the inventory and commercial settlement between that merchant and VEOGN unless VEOGN expressly undertakes a direct obligation to the End Customer.

19.9 The Exchange and Return Policy does not replace separate warranty obligations where those obligations apply.

Nothing in these Terms is intended to remove any mandatory right that cannot lawfully be excluded.

20. Ratings, Reviews, and Marketplace Conduct

VEOGN may allow Users to rate products, Suppliers, Sellers, or services.

Ratings and reviews must reflect genuine experiences or transactions and must not be materially misleading.

Fake reviews, artificial rating manipulation, undisclosed misleading incentives, use of multiple accounts to distort ratings, unlawful or abusive content, and reviews unrelated to the relevant product or transaction are prohibited.

VEOGN may restrict or remove content reasonably believed to violate these requirements.

The presence of a review on the Platform does not mean VEOGN endorses or guarantees its contents.

21. Data Protection and Confidentiality

21.1 VEOGN processes personal data in accordance with its Privacy Policy and applicable requirements.

21.2 The Privacy Policy is a separate document supplementing these Terms.

21.3 Where a User receives personal data concerning another User or End Recipient for purposes of completing an Order or service, that information must be used only for lawful and necessary purposes connected with the relevant transaction or service.

21.4 Personal information obtained through VEOGN must not be used to build independent marketing lists or for unrelated commercial purposes without an appropriate lawful basis.

21.5 Users must take reasonable measures to protect information obtained through the Platform.

21.6 A User becoming aware of unauthorized disclosure or misuse of personal information obtained through VEOGN must notify VEOGN without undue delay where appropriate and cooperate with reasonable steps required to address the incident.

The detailed data-processing framework will be addressed in the separate VEOGN Privacy Policy. Saudi Arabia's Personal Data Protection Law is currently in force, which is why the Privacy Policy remains a dedicated workstream rather than being reduced to this section alone.

22. Account Restriction, Suspension, and Termination

VEOGN may take proportionate action where reasonable grounds exist, including in cases involving falsified information, prohibited or counterfeit goods, fraud, abuse of payments or settlements, manipulation of Orders, prices or reviews, security incidents, repeated fulfillment failures, material or repeated breaches of these Terms, or failure to satisfy eligibility or verification requirements.

Depending on severity and circumstances, measures may include warnings, correction requests, removal of products or content, restriction of a service, temporary account suspension, hold or restriction of a disputed transaction or settlement where lawful and appropriate, or account termination in serious or repeated cases.

Immediate action may be taken where reasonably required to protect Users, funds, data, systems, or legal compliance, or to prevent fraud or imminent harm.

Where appropriate and practicable, VEOGN may inform the User of the reason for the action and any available review mechanism.

Termination does not extinguish obligations, transactions, amounts, or claims that arose before termination.

23. VEOGN's Responsibility and Limitations of Liability

23.1 VEOGN shall use reasonable care in providing the Platform and the services it undertakes to perform.

23.2 Technology services may from time to time be affected by maintenance, technical failures, telecommunications issues, third-party services, or circumstances beyond reasonable control.

23.3 Unless VEOGN expressly acts as the Seller in a particular transaction, the Supplier remains primarily responsible for the product, including its authenticity, description, specifications, legal marketability, intellectual property status, availability, and Seller warranty obligations.

23.4 VEOGN remains responsible, subject to these Terms and applicable law, for services that it expressly undertakes to perform, including relevant elements of warehousing, fulfillment, packaging, and shipping that fall within its responsibility.

23.5 VEOGN is not automatically responsible for representations, promises, or arrangements made independently by a User with another party outside VEOGN's express commitments.

23.6 Nothing in these Terms excludes or limits a liability or right that may not lawfully be excluded or limited.

23.7 Responsibility for a particular loss or claim shall take account of the cause, the role of each party, and the service obligation attributable to each party.

24. User Responsibility and Indemnification

A User is responsible for its actions, products, content, information, and violations.

To the extent permitted by applicable law, where a User's breach or wrongful conduct results in a third-party claim against VEOGN, that User shall be responsible for direct consequences properly attributable to its conduct.

This may include claims arising from counterfeit or prohibited products, infringement of intellectual property rights, materially misleading product information, unlawful use of personal information, fraud, unlawful activity, or failure to perform obligations belonging to that User.

A User shall not be required under this Section to indemnify VEOGN for loss attributable to VEOGN's own wrongful act or breach.

25. Amendments, Versions, and Notices

25.1 VEOGN may amend these Terms or related policies for operational, legal, security, compliance, or service-development reasons.

25.2 Published versions shall have a version record and an effective date sufficient to identify the applicable version.

25.3 Where a material update requires renewed acceptance, VEOGN may require a User to accept the updated version before continuing to use some or all relevant services.

25.4 Only a version formally published and activated through the applicable process shall constitute the published Platform policy.

25.5 Notices may be delivered through the User account, email, or other registered communications channels depending on the nature of the notice.

25.6 Users are responsible for keeping their registered contact information current.

26. Governing Law, Disputes, Force Majeure, and General Provisions

26.1 Governing Law

These Terms are governed by and shall be interpreted in accordance with the applicable laws and regulations of the Kingdom of Saudi Arabia.

Saudi Arabia's E-Commerce Law is currently in force and remains one of the legal frameworks to be considered where its provisions apply to a VEOGN service or transaction.

26.2 Complaints and Disputes

Where a complaint or dispute arises in connection with a VEOGN transaction or service, Users are encouraged to first use the support or dispute-management channels provided by VEOGN so that relevant records and transaction status may be reviewed.

VEOGN may facilitate communication or dispute review where appropriate, but doing so does not automatically make VEOGN the party responsible for the underlying obligation.

26.3 Jurisdiction

Where a dispute cannot be resolved and no other binding dispute-resolution arrangement applies, the matter shall be submitted to the competent judicial authority in the Kingdom of Saudi Arabia, in accordance with applicable jurisdictional rules.

26.4 Force Majeure

A party shall not be responsible for a delay or failure to perform to the extent directly caused by circumstances beyond its reasonable control where the effects could not reasonably be avoided.

The affected party should take reasonable measures to mitigate the effect and resume performance when reasonably possible.

26.5 Severability

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted.

26.6 No Waiver

Failure to exercise a right at any particular time does not by itself constitute a permanent waiver of that right.

26.7 Assignment

A User may not transfer its account or materially assign rights or obligations under these Terms without VEOGN's consent where such consent is reasonably required by the nature of the account or service.

26.8 Entire Agreement

These Terms, together with applicable policies and incorporated agreements, form the general framework governing the User's use of VEOGN.

They do not override an express separate agreement governing a particular service except as provided in that agreement.

26.9 Survival

Provisions that by their nature should continue after account termination shall survive, including outstanding financial obligations, confidentiality, intellectual property provisions, accrued liabilities, and dispute-related provisions.

26.10 Language

These Terms may be made available in Arabic and English.

In the event of any inconsistency or difference of interpretation between the Arabic and English versions, the Arabic version shall prevail, unless expressly stated otherwise.

26.11 Service-Specific Terms

A particular VEOGN service may be governed by additional terms, schedules, pricing rules, operating standards, or service-level requirements.

Such service-specific terms supplement these General Terms and, where a direct conflict exists concerning the specific service, the service-specific provision shall govern that particular matter.

Nothing in any service-specific terms shall remove a right or obligation that may not lawfully be excluded.
